Initial Procedure
1. Buyer Provides
a. Corporate Profile and Legal Address and Name of buyer company
b. Name and title of signatory
2. Mega Issues SCO/NCNDA Buyer signs accepting procedures and pricing
3. Mega provides sample ICPO with seller information.
BANKING AND STANDARD TRADING PROCEDURE
1. Buyer issues ICPO + CP (Company Profile), banking information must be included.
2. Buyer and Seller have a Conference Call.
3. If agreement reached verbally, Seller sends FCO
4. Buyers signs and approves FCO then sends back with Certified Tear Sheet signed by two bank officers
Buyers with impeccable track record may send these document bank to bank.
5. Seller verifies with buyer's bank the validity of Certified Tear Sheet.
6. Seller sends SPA. Spa contains a 20% performance penalty clause for non-delivery after the Instrument is activated.
7. After reasonable changes, contracts are signed, sealed, notarized and lodged at both banks
8. Seller provides bank to bank the commitment to supply letter, Buyer’s bank sends to sellers bank MT543 for the
amount of 1’st lift: 2 Million bbls.
9. Seller issues Proforma CI with Full POP (SGS, DTA, TSR included). This, for the first lift.**
10. Buyer provides Vessel details and or Tank Storage and pays via MT l03 after successful Dip Test.
11. Seller transfers title to the buyer.
12. Buyer's bank issue the SBLC or renews the MT543 covering the total amount of 1 month of the Contractual lift. Performance
bond issued for the contract. The instrument is automatically re-opened and renewed monthly till the end of the contract and
remains valid throughout the period for 12 month and one day.
No loading, no departure of ship until MT103 payment activated. * Banking must be from a Top 25 bank.
NCNDA
Whereas, the undersigned parties are mutually desirous of doing business with respect to the arranging, buying
and selling and in cooperation with one another and with third parties for their mutual benefit.
This agreement is made and entered into on this date, shall obligate the undersigned parties and partners,
associates, employers, customers, employees, affiliates, subsidiaries, parent companies, any nominees,
representatives, successors, clients and assigns referred to as "The Parties" jointly severally, mutually and
reciprocally terms and conditions.
The Parties hereby legally, and irrevocably bind themselves into guarantee to each other that they shall not
directly or indirectly interfere with, circumvent or attempt to circumvent, each other’s' interest or the interest or

relationship between "The Parties" with procedures, seller, buyers, brokers, dealers, financial instructions, to
change, increase or avoid directly or indirectly payments of established or to be established fees, commissions,
or continuance of pre-established relationship without permission of parties nor make use of third party to
circumvent.
"The Parties" agree not to circumvent or attempt to circumvent this agreement in an effort to gain fees,
commissions, remunerations or considerations to the benefit of the one or more of "The parties" while excluding
other or agree to benefit to any other party.
In specific deals where one of "The Parties" acting as an agent allows the buyers or lease mandates, and the
seller or sellers' mandates to deal directly with one another, the agent shall be informed of the transactions by
receiving copies of the correspondence made between the buyer or lease mandate and the seller, and by the
seller or seller's mandate and the buyer.
Any e-mail communication between buyers or buyers' mandates, and the seller or sellers' mandates shall
include in copy Party(s) introduced and/or who made possible their direct communication.
This agreement shall be valid for five (5) years commencing from the date of this agreement.
This agreement is valid for all commodities and transactions between parties and the parties agree that any
misuse of information supplied in terms of the business relationship, notwithstanding anything contained herein,
or any indulgence or relaxation of any clause herein, shall entitle the claimant party to full legal recourse in
terms of ICC regulations.
This is not a commitment to purchase. By the signatures below both companies confirm their acceptance of the
pricing, procedures, terms, and NCNDA agreement herein.
